General Terms of Use
We are vokabl Ltd ("Company", "we", "us", or "our"), a company registered in England and Wales at 71-75 Shelton Street, London, WC2H 9JQ. Company No. 17074304. ICO Registration No. ZC105048.
We operate the website vokabl.com (the "Site"), as well as any other related products and services that refer or link to these Legal Terms (collectively, the "Services").
We provide live, instructor-led online German language courses taught in small groups or private one-to-one sessions by qualified teachers via Zoom video conferencing. Classes are conducted in English and German.

These Legal Terms constitute a legally binding agreement between you and vokabl Ltd concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree with all of these Legal Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.
You will be asked to explicitly accept these Legal Terms when you create your account, by ticking a box confirming you have read and agree to them. At checkout, submitting your payment details confirms your acceptance of these Legal Terms, including the billing trigger and withdrawal terms described in Section 7, with a link to this page provided on that screen.
We will notify you of any material changes to these Legal Terms at least 10 days before they take effect by email to your registered address. If you do not agree with the changes, you may close your account before the effective date. Continued use of the Services after the effective date constitutes acceptance of the updated terms.
The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.
vokabl currently accepts students from the following countries and territories: member states of the European Union (with the exception of the Netherlands), the United Kingdom, and Egypt. We do not accept registrations from users based outside these territories at this time. This geographic scope is subject to change and will be updated on the Website when expanded.
The Services are not available to users located in any territory subject to sanctions designated by an authority that vokabl is directly or indirectly subject to, including OFAC (US), OFSI (UK), and EU sanctions regimes.
The Services are not tailored to comply with industry-specific regulations (such as HIPAA or FISMA). You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA) or similar sector-specific legislation applicable to you.
Our intellectual property
We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, course materials, and lesson content in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"). Our Content and Marks are protected by copyright and trademark laws and treaties in the United Kingdom, the European Union, and internationally.
Your use of our Services
Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to access the Services and download or print a copy of any portion of the Content expressly made available to you for your personal, non-commercial language learning use only.
Except as set out in this section, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.
Your submissions
By directly sending us any question, comment, suggestion, idea, or feedback about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submission. We shall own this Submission and be entitled to its unrestricted use for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.
By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity to agree to these Legal Terms; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Services through automated or non-human means; (6) you will not use the Services for any illegal or unauthorised purpose; and (7) your use of the Services will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services.
You must register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. You must notify us immediately at support@vokabl.com if you become aware of any unauthorised access to or use of your account. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
5.1 Course Format and Level
vokabl currently offers German language courses at beginner level (A1 of the Common European Framework of Reference for Languages, CEFR). No prior knowledge of German is required to enrol. As new levels become available, they will be published on the Website.
Courses are offered in two formats: small group sessions (multiple students per class) and private one-to-one sessions. Each format is priced separately as indicated on the Website. The number of lessons per course is specified at the time of purchase.
5.2 Class Delivery
All classes are delivered live via Zoom video conferencing. You are responsible for having a functioning internet connection, a device compatible with Zoom, a working microphone, and a camera. Classes are conducted in both English and German as appropriate to the lesson content and student level.
5.3 Teacher Assignment
vokabl assigns teachers to courses. You do not have the right to select or request a specific teacher. vokabl will use reasonable efforts to maintain the same teacher throughout your course. However, we do not guarantee teacher continuity and reserve the right to assign a replacement teacher where necessary due to illness, unavailability, or other operational reasons. In the event of a teacher change, vokabl will notify affected students as promptly as practicable.
5.4 Availability and Changes
All courses are subject to availability. vokabl reserves the right to modify, postpone, or cancel a course. Where vokabl cancels a scheduled lesson, affected students will receive either a replacement lesson at a rescheduled time or a proportionate credit for the cancelled lesson, at vokabl's discretion.
5.5 Missed Lessons
If you are unable to attend a scheduled lesson within your course, please notify us at support@vokabl.com as soon as possible. Missed lessons do not entitle you to an automatic refund or replacement. Requests for makeup lessons or credits in respect of missed lessons will be considered on a case-by-case basis at vokabl's sole discretion.
5.6 Course Deferral
Requests to defer your enrolment to a future course cohort will be considered on a case-by-case basis at vokabl's sole discretion. Submit deferral requests to support@vokabl.com before your course begins.
5.7 Certificates
vokabl does not currently issue certificates or formal proof of course completion. We intend to introduce a completion certificate in a future update to the platform. This section will be updated when that feature is available.
We accept the following forms of payment: Visa, Mastercard, and American Express.
All prices are displayed in Euros (EUR). The price displayed at checkout, inclusive of applicable VAT, is the total amount you will be charged. No additional fees will be applied after checkout.
6.1 VAT
VAT is calculated and added at checkout based on your country of residence, and the price shown at checkout is the final amount you will be charged. By completing a purchase, you confirm that the billing country you have provided is accurate.
6.2 Payment Processing
Payments are processed via Stripe. vokabl does not store your full card details. In the event of a failed payment, vokabl is under no obligation to fulfil the purchase order and reserves the right to cancel your enrolment until payment is successfully received.
6.3 Pricing Changes
We reserve the right to amend course prices at any time. Price changes will not affect a course you have already purchased or are currently enrolled in.
7.1 Free First Lesson
When you register, you are required to provide a valid payment card. Your card will be verified but not charged at registration. You are entitled to attend your first scheduled lesson at no cost. This first lesson is your opportunity to evaluate the course, the teaching format, and the platform before any payment obligation arises.
7.2 Billing Trigger
The full course price will be automatically charged to your payment card when you attend your second lesson. By attending your second lesson, you expressly acknowledge and agree that:
- you have had the opportunity to evaluate the course and have elected to continue
- you expressly request that the Services continue to be performed immediately
- you acknowledge that your right of withdrawal, as described in Section 7.3, continues after your second lesson for the rest of the 14-day period set out there, and that any refund due for that remaining period is calculated on a pro rata basis
If you do not attend your second lesson, no charge will be applied. You may close your account at any time before attending the second lesson at no cost.
7.3 Right of Withdrawal
Consumers based in the European Union or United Kingdom have a statutory right to withdraw from the contract for a course within 14 calendar days of that course's purchase being confirmed at checkout (the "conclusion" of the contract), without giving any reason, in accordance with the EU Consumer Rights Directive 2011/83/EU and UK Consumer Contracts Regulations 2013. vokabl grants this same 14-day withdrawal right to every consumer, regardless of their country of residence, whether or not local law requires it. Where you purchase more than one course, each course forms a separate contract with its own 14-day withdrawal period running from that course's checkout date.
Before you submit your payment details at registration, we display this billing trigger to you explicitly on the enrolment screen: your card is charged only when you attend your second lesson. You give this consent by ticking a box at registration confirming you have read and agree to these Legal Terms. By submitting your payment details on that screen, and again by electing to attend your second lesson, you confirm this consent and acknowledge that you will be charged the full course price when you attend your second lesson. This consent allows us to begin performing the Services before the 14-day period ends; it does not end your right to withdraw during the remainder of that period, as set out below.
Because there are no recurring charges under these Legal Terms, the only circumstance in which a refund arises under this right is where you have been charged (i.e. you attended your second lesson) and you then withdraw before the 14-day period described above has expired. In that case, you are entitled to a refund of the course price less a proportionate amount for the lessons already provided to you up to the date of your withdrawal. The method of calculating that proportionate amount is determined by vokabl, acting reasonably and by reference to the total coverage of the course.
To exercise your right of withdrawal at any point during the 14-day period, contact us at support@vokabl.com, or use the Model Withdrawal Form in the Appendix to these Legal Terms (its use is optional). We will acknowledge receipt of your withdrawal request by email as soon as we can. Where a refund is due, we will pay it without undue delay and in any event within 14 days of being informed of your decision to withdraw, using the same means of payment you used for the original transaction, unless you expressly agree otherwise; you will not incur any fees as a result of the reimbursement.
7.4 Cancellations and Refunds After the Withdrawal Period
Once the 14-day statutory withdrawal period described in Section 7.3 has expired, vokabl does not offer automatic refunds for the remaining unused lessons.
We recognise that exceptional circumstances arise. In cases of serious illness, bereavement, or other significant unforeseen events, you may contact us at support@vokabl.com to request a discretionary refund or credit for unused lessons. Each request will be considered individually and on its merits. vokabl is not contractually obligated to grant such requests but will endeavour to act fairly and reasonably.
Nothing in this section affects your statutory rights under applicable consumer protection law, including your right to seek a remedy where vokabl has materially failed to deliver the service as described.
You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:
- systematically retrieve data or other content from the Services to create or compile a collection, compilation, database, or directory without written permission from us
- trick, defraud, or mislead us or other users, especially in any attempt to learn sensitive account information
- circumvent, disable, or otherwise interfere with security-related features of the Services
- use any information obtained from the Services to harass, abuse, or harm another person
- use the Services in a manner inconsistent with any applicable laws or regulations
- upload or transmit viruses, Trojan horses, or other malicious material
- engage in any automated use of the system, including bots, scrapers, or data mining tools
- attempt to impersonate another user or person
- record, screenshot, or capture any audio or video from a class session without the express written consent of vokabl and all participants
- share your account credentials or class access with any third party
- harass, intimidate, or threaten any teacher, employee, or agent providing the Services
- use the Services to advertise or offer to sell goods and services
- sell or otherwise transfer your account or enrolment
vokabl reserves the right to suspend or terminate your account for any breach of these prohibitions without refund. Serious or repeated breaches may be reported to relevant authorities.
The Services may contain links to third-party websites or content. Such third-party websites and content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us. We are not responsible for any third-party websites or content, including their accuracy, reliability, or privacy practices. Inclusion of any third-party link does not imply our endorsement thereof.
Classes are delivered via Zoom. Your use of Zoom is subject to Zoom's own Terms of Service and Privacy Policy, which are independent of these Legal Terms. vokabl is not responsible for the availability, security, or conduct of Zoom's platform.
We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who violates the law or these Legal Terms, including reporting such user to law enforcement authorities; (3) in our sole discretion, refuse, restrict access to, or limit the availability of the Services or any portion thereof; and (4) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.
We care about data privacy and security. Please review our Privacy Policy at vokabl.com/privacy, which is incorporated into these Legal Terms by reference.
vokabl Ltd is the data controller for all personal data processed in connection with the Services. We process your personal data on the basis of contractual necessity, compliance with legal obligations, and legitimate interests as described in our Privacy Policy. We do not rely on consent as the primary legal basis for processing personal data necessary to deliver the Services.
The Services are hosted on servers located in Germany, within the European Economic Area. No special consent is required for this. Where personal data is transferred outside the UK or EEA, we ensure appropriate safeguards are in place, including Standard Contractual Clauses or the UK International Data Transfer Agreement, as applicable.
Under UK GDPR and EU GDPR, you have the right to access, rectify, erase, port, and restrict the processing of your personal data, and to object to certain processing. To exercise any of these rights, contact us at support@vokabl.com. Full details of your rights and how we process your data are set out in our Privacy Policy.
vokabl Ltd is registered with the UK Information Commissioner's Office (ICO) under Registration No. ZC105048. EU residents may lodge complaints with their national supervisory authority.
These Legal Terms shall remain in full force and effect while you use the Services.
Without limiting any other provision of these Legal Terms, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Services to any person for any reason, including without limitation for breach of any representation, warranty, or covenant contained in these Legal Terms or of any applicable law or regulation.
Where vokabl terminates your account without cause, any paid but undelivered lessons will be refunded on a pro-rated basis within 15 business days.
You may terminate your account at any time by contacting us at support@vokabl.com. Where a course is in progress, Section 7.4 governs any refund entitlement.
Provisions of these Legal Terms that by their nature should survive termination, including Intellectual Property Rights, Limitations of Liability, Indemnification, Governing Law, and Dispute Resolution, shall continue in full force and effect after termination.
We will notify you of any material changes to these Legal Terms at least 10 days before they take effect by email to your registered address. If you do not agree with the changes, you may close your account before the effective date and will receive a pro-rated refund of any prepaid unused lessons. Continued use of the Services after the effective date constitutes acceptance of the updated terms.
We cannot guarantee the Services will be available at all times. We may experience technical problems or need to perform maintenance, resulting in interruptions or delays. We will endeavour to provide advance notice of planned maintenance where possible. We are not liable for any inconvenience caused by temporary unavailability of the Services.
These Legal Terms are governed by and construed in accordance with the laws of England and Wales. If your habitual residence is in the EU and you are a consumer, you additionally possess the protection provided by the mandatory provisions of the law of your country of residence. vokabl Ltd and yourself both agree to submit to the non-exclusive jurisdiction of the courts of England and Wales, meaning you may also bring proceedings in the courts of the EU country in which you reside.
Consumers based in Scotland may bring legal proceedings in either the Scottish or the English courts. Consumers based in Northern Ireland may bring legal proceedings in either the Northern Irish or the English courts.
If you have a complaint or dispute, please contact us in the first instance at support@vokabl.com. We will acknowledge your complaint within 5 business days and aim to resolve it within 30 days.
For consumers in the United Kingdom, unresolved disputes may be referred to an approved Alternative Dispute Resolution (ADR) provider. Details of approved ADR schemes are available from the Chartered Trading Standards Institute at tradingstandards.uk.
For consumers in the European Union, the European Commission provides an Online Dispute Resolution platform accessible at https://ec.europa.eu/consumers/odr.
Nothing in this section limits your right to bring proceedings in a court of competent jurisdiction.
There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions and pricing. We reserve the right to correct any such errors at any time. This does not affect our obligation to honour prices confirmed to you at checkout.
The Services are provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be available at all times, uninterrupted, or error-free. Nothing in this disclaimer affects your statutory rights as a consumer under applicable law.
To the fullest extent permitted by applicable law, in no event will we or our directors, employees, or agents be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data, arising from your use of the Services.
Notwithstanding anything to the contrary, our aggregate liability to you for any cause whatsoever arising from or in connection with the Services will at all times be limited to the total amount paid by you to us for the course giving rise to the claim.
Nothing in these Legal Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any other liability that cannot be excluded or limited under English law; or (d) any liability to consumers that cannot be excluded under applicable mandatory consumer protection law in your country of residence.
To the extent permissible by applicable consumer protection law, you agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable legal fees and expenses, made by any third party due to or arising out of: (1) your breach of these Legal Terms; (2) your violation of any third-party rights, including intellectual property rights; or (3) any harmful act toward any other user of the Services.
We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services and your use of them. Please refer to our Privacy Policy at vokabl.com/privacy for full details of how we collect, use, retain, and protect your personal data, and your rights in relation to it.
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing. You agree that your acceptance of these Legal Terms at registration and at checkout constitutes a valid and binding electronic signature.
vokabl uses SMS text messaging (via Twilio) solely for transactional communications, including booking confirmations, class reminders, account notifications, and one-time passcodes for account or payment verification. We do not send marketing or promotional SMS messages without your separate explicit consent.
To opt out of transactional SMS messages, reply STOP to any message we send, or update your communication preferences in your account settings. Please note that opting out of transactional messages may mean you miss important class notifications.
Message and data rates may apply. Rates are determined by your carrier and mobile plan.
These Legal Terms and the Privacy Policy constitute the entire agreement between you and us with respect to the Services. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. We may assign any or all of our rights and obligations to others at any time, taking your legitimate interests into account. You may not assign your rights or obligations under these Legal Terms without our prior written consent. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.
